They need an unbiased and objective view of the value of what they are buying or investing in.

1. Get a good understanding of the historic financial situation of the company and the correctness of the reported numbers.
2. Check that there are no hidden ‘skeletons in the closet’ (reveal financial risks)
3. Fully understand the target firm’s balance sheet.
4. Fully understand the target firm’s profit and loss.
5. Forecast the target's future financial situation.
6. Determine if the expected synergies can be realized.
7. Get an opinion on the purchase price.
8. See if any material deal breakers come up.
9. Get an idea of which guarantees should be requested in the SPA by the buyer.
10. Use the financial due diligence report of an external firm to achieve bank financing.
